Terms and Conditions

These terms and conditions apply to the licence for and the use of VelderFlow (Basic and Pro), a plugin for Adobe Photoshop developed and offered by Velderhof Photography (“we”, “us”). By purchasing and installing VelderFlow, you agree to these terms.

• VelderFlow: the Photoshop plugin in the Basic or Pro edition, including any updates.
• User: the natural or legal person who has purchased a licence for VelderFlow.
• Marketplace: the Adobe Creative Cloud Marketplace, through which VelderFlow is sold and distributed exclusively.

3. Formation of the agreement

The agreement is formed at the moment the User confirms the order in the Marketplace and payment has been received or authorised by FastSpring. After confirmation, the User receives a purchase confirmation from Adobe and/or FastSpring.

4. The licence

On purchase, the User obtains a personal, non-exclusive, non-transferable, perpetual licence to use VelderFlow in combination with Adobe Photoshop, tied to the Adobe account used to make the purchase.

The licence is a one-off payment; there are no recurring subscription costs.

It is not permitted to copy, resell, rent, sub-licence or otherwise make VelderFlow available to third parties, except as expressly permitted by Adobe’s own Marketplace terms.

Reverse engineering, decompiling or otherwise disassembling VelderFlow is not permitted, except to the extent that mandatory law allows it.

5. Basic and Pro

VelderFlow is available in two editions, Basic and Pro, with a different range of features as described on the product page and in the accompanying manual.

Upgrade path. A User with a Basic licence who wishes to move to Pro sends proof of purchase to info@velderhofphotography.nl. After verification, the price difference between the two editions is refunded against the new Pro purchase. This is a manual process and not an automated function within the plugin or the Marketplace.

6. Price and payment

All prices stated are in euros unless indicated otherwise. Because the Marketplace sets the base price in US dollars, the amount FastSpring shows a European User may be a currency conversion of that base price.

The price shown during the ordering process at the moment of purchase is binding, regardless of any difference from the price stated elsewhere (for example on the Velderhof Photography website) as a result of currency fluctuations.

Temporary introductory prices are identified as such, stating the date on which the regular price takes effect. Price changes do not apply retroactively to licences already purchased.

7. Delivery and right of withdrawal

VelderFlow is immediate digital content, made available for download through the Marketplace directly after purchase.

In accordance with Section 6:230p, opening words and part (g), of the Dutch Civil Code, the User expressly waives the statutory 14-day right of withdrawal at the moment of purchase, since delivery of the digital content begins immediately with the User’s express prior consent.

Without prejudice to statutory rights

Notwithstanding the above, the User’s statutory rights in the case of a non-conforming product (for example where VelderFlow structurally fails to work as described) remain in force under Book 7 of the Dutch Civil Code; these terms do not exclude those rights.

8. No money-back guarantee

Except as provided in clause 7, Velderhof Photography does not offer a voluntary money-back guarantee on VelderFlow purchases.

9. Updates and support

Updates to VelderFlow are distributed through the Marketplace and are included for the User with the edition purchased, for as long as Adobe supports this form of distribution.

Support runs through info@velderhofphotography.nl. We aim to respond within a reasonable period; a specific response time is not guaranteed.

10. Intellectual property

All intellectual property rights in VelderFlow, including the source code, the design and the accompanying manual, belong to Velderhof Photography. The licence grants a right of use only, not a transfer of ownership.

11. Liability

VelderFlow is delivered “as is”. Velderhof Photography makes every effort to provide a properly working plugin, but does not guarantee that VelderFlow works without error under all circumstances, Photoshop versions or system configurations.

Velderhof Photography’s liability for damage arising from the use of VelderFlow is limited to the amount the User paid for the licence concerned, except in the case of intent or deliberate recklessness.

Velderhof Photography is not liable for indirect damage, including lost revenue, loss of data or consequential damage, arising from the use of VelderFlow.

VelderFlow works exclusively with adjustment layers, masks and groups within the User’s own Photoshop document; the User remains responsible at all times for keeping their own backup of original files.

12. Termination

Velderhof Photography may terminate a User’s licence in the event of a demonstrable breach of these terms, including unauthorised resale or distribution of VelderFlow.

13. Complaints

Complaints about VelderFlow or these terms can be sent to info@velderhofphotography.nl. We respond within a reasonable period.

14. Changes

Velderhof Photography may amend these terms. In the event of material changes, the most recent version is published on the website; for licences already purchased, the terms that applied at the time of purchase continue to apply, unless a change is legally required.

15. Governing law and disputes

These terms are governed by Dutch law. Disputes will be submitted to the competent court in the Netherlands, without prejudice to the right of a User acting as a consumer to bring a dispute before the court of their own place of residence within the EU, to the extent that mandatory law so requires.
